Terms and Conditions for The Social Box™

1. Acceptance of Terms

By accessing and using The Social Box™ platform, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the platform. We reserve the right to modify these terms at any time. Your continued use of The Social Box™ after changes constitutes acceptance of the updated terms.

2. Platform Use & User Accounts

Eligibility: You must be at least 18 years old and have the legal authority to enter into agreements to use The Social Box™.

Account Creation: You are responsible for maintaining the confidentiality of your account information and password. You agree to provide accurate, current, and complete information during registration.

Permitted Use: You agree to use The Social Box™ only for lawful purposes and in a way that does not infringe on the rights of others or restrict their use and enjoyment of the platform.

Prohibited Conduct: You may not:

  • Engage in harassment, abuse, or discrimination

  • Attempt to gain unauthorized access to the platform or other users' accounts

  • Upload malware, viruses, or harmful code

  • Violate intellectual property rights

  • Spam or send unsolicited communications

  • Reverse engineer or attempt to extract the platform's source code

3. Campaign Management & Content

Your Responsibility: As a campaign admin or client, you are responsible for ensuring all campaign materials, influencer agreements, and content comply with applicable laws and regulations, including FTC guidelines on sponsored content disclosure.

Creator Content: Creators retain ownership of content they upload to The Social Box™. By uploading content, creators grant The Social Box™ a license to store, display, and facilitate sharing of that content within campaigns for the purposes of campaign management and client approval.

Intellectual Property: You may not use The Social Box™ to infringe on copyrights, trademarks, or other intellectual property rights. All content must be original or properly licensed.

4. Payments & Earnings

Payment Processing: The Social Box™ does not process payments. We provide a platform to track and manage payments between parties. All payment processing is the sole responsibility of the account user (admin). You are responsible for ensuring payments are made accurately and on time to creators and other parties.

Payment Tracking: The Social Box™ allows admins to input and track payment information, earnings data, and payment status. We facilitate visibility and organization of this data but do not execute, process, or guarantee payments.

Creator Earnings: Admins input earnings data and authorize payments to creators outside of The Social Box™. The Social Box™ acts as a tracking and management tool only and is not responsible for payment disputes, delays, or failures between admins/clients and creators.

No Payment Liability: The Social Box™ is not a party to payment transactions and assumes no liability for payment-related issues, disputes, or failures. All payment obligations and disputes are between the payer and payee.

Fees: Any fees associated with The Social Box™ will be clearly disclosed. You authorize us to charge your payment method for platform services rendered.

Refunds: Refund policies will be outlined in your service agreement. Contact us for refund requests related to The Social Box™ platform fees only.

5. Confidentiality & Data

Your Data: You retain ownership of campaign data, influencer information, and content you upload. By using The Social Box™, you grant us permission to store, process, and display this data to facilitate platform functionality.

Confidentiality: We treat your data as confidential and will not share it with third parties except as outlined in our Privacy Policy or as required by law.

Data Security: While we implement security measures, we cannot guarantee absolute protection. You use The Social Box™ at your own risk.

6. User Roles & Permissions

Admin Role: Admins have full access to campaign data, creator information, and platform settings. Admins are responsible for managing user permissions and ensuring appropriate access.

Client Role: Clients see only their assigned campaigns, budgets, and associated content. Admins control what clients can access.

Creator Role: Creators can upload content, track earnings, and communicate within their assigned campaigns. Creators cannot access other campaigns or user data.

7. Limitation of Liability

To the fullest extent permitted by law, The Social Box™ and its owners, operators, and service providers shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or business opportunities

  • Third-party claims or disputes between users

  • Platform downtime, errors, or interruptions

  • Unauthorized access or data breaches beyond our reasonable control

Our total liability shall not exceed the amount you paid for The Social Box™ in the past 12 months.

8. Disclaimers

"As-Is" Basis: The Social Box™ is provided on an "as-is" basis without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or meet your specific needs.

Third-Party Services: The Social Box™ integrates with third-party services. We are not responsible for their functionality, availability, or privacy practices.

User Content: We do not endorse, control, or assume responsibility for user-generated content, including campaigns, creator content, or communications.

9. Indemnification

You agree to indemnify and hold harmless The Social Box™, its owners, operators, and employees from any claims, damages, losses, or expenses arising from:

  • Your use of the platform in violation of these terms

  • Your violation of applicable laws or regulations

  • Your infringement of third-party intellectual property rights

  • Disputes with other users or third parties

  • Content you upload or campaigns you manage

10. Termination

Our Right to Terminate: We reserve the right to suspend or terminate your account if you violate these terms, engage in prohibited conduct, or fail to pay fees.

Your Right to Terminate: You can delete your account at any time through your account settings. Upon termination, your access to the platform will be revoked, though we may retain data as required by law.

Effect of Termination: Termination does not relieve you of payment obligations or liability for past conduct.

11. Disputes & Governing Law

Governing Law: These Terms and Conditions are governed by the laws of Missouri, United States, without regard to conflicts of law.

Dispute Resolution: Any disputes arising from these terms or use of The Social Box™ shall be resolved through binding arbitration or mediation, as outlined in a separate dispute resolution agreement.

12. Intellectual Property

The Social Box™, including its design, features, functionality, and content, are owned by TwentyThree, LLC and protected by copyright and trademark laws. You may not reproduce, distribute, or modify The Social Box™ without permission.

13. Third-Party Links

The Social Box™ may contain links to third-party websites. We are not responsible for their content, accuracy, or privacy practices. Use third-party sites at your own risk.

14. Accessibility

15. Severability

If any provision of these terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.

16. Entire Agreement
